Fine Semitech Corp. (KOSDAQ:A036810) announced a private placement of 7th unregistered unsecured unguaranteed private convertible bonds for gross proceeds of KRW 15,000,000,000 on July 21, 2016. The bonds will be issued at its par value. The transaction will include participation from new investors Shinhan Capital, Investment Arm, KDB Capital Corporation, Investment Arm, NH Investment & Securities Co., Ltd., Investment Arm, HisStory Investment Management, and Mirae Asset Securities Co., Ltd., Investment Arm for KRW 4,000,000,000, KRW 3,000,000,000, KRW 3,000,000,000, KRW 3,000,000,000, and KRW 2,000,000,000 respectively. The bonds will not carry any annual interest coupon and will have a yield to maturity of 2%. The bonds will mature on July 25, 2019. The bonds are fully convertible into registered common stock of the company at a conversion price of KRW 4,445 per share. The conversion period of the bonds will start and end on July 25, 2017 to June 25, 2019. The subscription date and the payment date for the bonds are expected on July 25, 2016. The transaction was approved by the board of directors of the company.
Fine Semitech Corp is a Korea-based company engaged in the manufacture of semiconductor materials and equipment. The Company operates its business through four segments. The Semiconductor Equipment segment mainly manufactures semiconductor equipment includes chillers, such as compressor chillers, thermo-electric (TEM) chillers, heat exchanger chillers and temperature and humidity control (THC) units. The semiconductor Materials segment mainly manufactures semiconductor pellicles, which are used to protect photo masks from particles in the photolithography processes of semiconductor devices, and liquid crystal display (LCD) pellicles, which are used to protect mask patterns from particles in the manufacturing process of color filters boards. The Wholesale segment mainly wholesales semiconductor chips. The other segment mainly engaged in the real estate rental business.
