5.Cause of occurrence:
(1)According to clause 35th of Business Mergers and
Acquisitions Act.
(2)According to resolution of annual shareholder's meeting,
the Company decided to spin-off the Electronic Equipment
business as a newly established 100% holding subsidiary as
Eternal Mechanics Co., Ltd.. The record date of the
spin-off is scheduled on October 1st,2022. If the recorded
date may be adjusted, authorize the board of the Company to
deal with it accordingly.
6.Countermeasures:
Following the Company will notice each of creditors
separately
7.Any other matters that need to be specified:
From the date hereof and until 23rd of July, 2022, creditors
of the Company who object to the spin-off may hand delivery
or mail (if mailed, the date of delivery shall be the date of
postage stamp) their written objections, together with the
related credit certificates to Finance Department, Eternal
Materials Co., Ltd. at 578, Jiangong Rd., Sanmin Dist. Kaohsiung
City, 807578, Taiwan. If no objection is raised during the
aforementioned period, it shall be deemed that the creditor has
no objection.
