BTGI A.Z.P.S.P.E. Empreendimentos e Participações S.A. entered into a purchase and sale agreement to acquire 65% stake in CDR Pedreira - Centro de Disposição de Resíduos S.A. from Estre Ambiental, Inc. (NasdaqGM:ESTR) for approximately BRL 180 million in October 2014. The consideration is payable in three installments over the course of 2014. BTGI and Estre also entered into a sell and put option over the interest in CDR Pedreira, originally set to expire in October 2017.

Estre Ambiental Inc is a waste management company operating in Brazil. The Firm is engaged in waste collection, transfer, recycling and disposal. It provides municipal, commercial and industrial customers with a range of waste management solutions. The Companyâs activities are divided into four segments: Collection & Cleaning Services, Landfills, Oil & Gas and Value Recovery. The Collection & Cleaning segment includes urban cleaning services, household collection based on contracts with municipalities across six Brazilian states and waste collection for commercial and industrial customers. The Landfills division operates landfills for hazardous and non-hazardous residues. The Oil & Gas segment provides on-site and off-site biological remediation of contaminated soil. The Value Recovery division develops processes to convert and recycle collected waste into usable forms of energy.
