Milan, April 17, 2019

The new Board of Directors of ePRICE, the leading Italian e-Commerce company listed on the STAR segment of the Italian Stock Exchange since 2015, met today and confirmed as Chief Executive Officer Paolo Ainio, who was also elected Chairman of the Board of Directors during the Shareholders' Meeting held yesterday.

The Board of Directors has assessed and verified the independence requirements of the Directors, based on the information received from interested parties and at disposal of the Company: Roberto Mazzei, Chiara Burberi, Piero Galli, Annunziata Melaccio, Arabella Caporello and Moshe Sade Bar. The evaluation was carried out pursuant to article 148, paragraph 3 of the Consolidated Law on Finance and on the criteria indicated by the Corporate Governance Code for listed companies.

The Board also confirmed Jean-Paule Castagno (Chairman), Stefania Bettoni and Fabio Meda as members of the Supervisory Body of ePRICE S.p.A. and determined the relative remuneration.

The Board finally confirmed Emanuele Romussi as manager responsible for preparing the corporate accounting documents of ePRICE S.p.A., pursuant to Article 154 bis of the TUF.
