Doxee (DOX: IM), a leading multinational high-tech company offering products in the fields of Customer Communications Management (CCM), Digital Customer Experience, and Paperless, announces that its Austrian subsidiary Doxee CEE GmbH, which already holds 90% of Infinica GmbH ("Infinica") following the announcement on January 18, 2023, has exercised the first tranche, (amounting to 5% of the share capital) of the option to purchase the remaining 10% of Infinica's share capital, held by Herbert Liebl, CEO and General Manager of the acquired company, for approximately € 1.1 million.

The remaining 5% of Infinica's share capital, which is held by Herbert Liebl, is subject to a put&call option agreement to be exercised in 2026, for a maximum value of an additional € 3.9 million. The purchase price will be determined based on a calculation that depends on the sales growth from the development of Infinica's products and services in certain markets.

It should be noted that Doxee CEE GmbH is an Austrian company that is 58% owned by Doxee S.p.A. and 42% owned by Simest S.p.A. ("Simest"), a CDP Group company that supports the internationalization of Italian companies. Simest's entry in Doxee CEE GmbH took place on February 3, 2023 through the investment, both on the part of Simest and through the Venture Capital Fund (VCF)-managed on behalf of the Ministry of Foreign Affairs and International Cooperation-of a € 2 million capital increase to acquire 42% of the share capital of Doxee CEE GmbH (For more information regarding the investment agreement between Doxee S.p.A. and Simest S.p.A., see the press releases dated January 18, 2023 and February 3, 2023 available at www.doxee.com/investor-relations).

In order to enable Simest to invest in Doxee CEE GmbH and thus make the aforementioned capital increase, Doxee S.p.A. transferred the stake representing 90% of Infinica's share capital to its subsidiary, at a carrying price of approximately € 9.5 million, acquired by Doxee S.p.A. on September 29, 2022 (For more information regarding the transaction to acquire Infinica GmbH by Doxee S.p.A., see the press releases dated September 13, 2022 and September 29, 2022, available at www.doxee.com/investor- relations).
