Simest works with Doxee to bring the Italian digital transformation to Europe

Doxee (DOX: IM), a leading high-tech multinational provider of products in Customer Communications Management (CCM), Digital Customer Experience, and Paperless, announces the conclusion of an investment agreement with Simest S.p.A. ("Simest") - a CDP Group company dedicated to the internationalization of Italian companies - aimed at supporting the internationalization of Doxee and, in particular, its Austrian subsidiary Doxee CEE GmbH ("Doxee CEE GmbH" or "Newco").

The aforementioned agreement is aimed at obtaining dual support from Simest S.p.A. in the internationalization phase of the Doxee Group, as Simest will act, under certain conditions, both as a lender (up to a maximum of € 2 million) and as a shareholder (up to a maximum of € 2 million), through a minority stake in the share capital of the Austrian company Doxee CEE GmbH -set up in August 2022 with capital wholly owned by Doxee-after today's transfer of the stake that represents 90% of the share capital of Infinica GmbH (hereinafter the "Shareholding") from Doxee to Doxee CEE GmbH.

It should be noted that 90% of the share capital of Infinica GmbH, an Austrian CCM technology vendor with its own branches in Germany - Infinica Deutschland GmbH - and Slovakia - Infinica Slovakia s.r.o. - was acquired by Doxee on 29 September 2022. The acquisition was strategic because the Austrian company owns an internally developed SaaS platform for the delivery of CCM services dedicated to the creation and distribution of personalized, on-demand and interactive documents aimed at managing multiple customer-facing processes such as onboarding and customer care (For more information regarding the acquisition of Infinica GmbH by Doxee S.p.A., see the press releases dated 13 September 2022 and 29 September 2022, available at www.doxee.com/investor- relations).

DESCRIPTION OF THE INVESTMENT AGREEMENT

The transaction is in continuity with the acquisition of the Shareholding in Infinica GmbH and provides for Simest S.p.A to enter in the share capital of Doxee CEE GmbH by March 2023 and the provision of a loan in favour of the latter, subject to the transfer of the Shareholding from Doxee S.p.A. to Doxee CEE GmbH.

The investment agreement (hereinafter, the "Investment Agreement") provides for Simest S.p.A. to underwrite, both on its own and through the Venture Capital Fund (VCF) - and managed on behalf of the Ministry of Foreign Affairs and International Cooperation - a capital increase totalling € 2 million to acquire 42% of the share capital of Doxee CEE GmbH and to provide a loan of up to € 1 million (6-year

term, 18-monthpre-amortization,4-year IRS rate + 2.30% spread), as well as a loan through the Venture Capital Fund in the same amount and with the same characteristics, but with a fixed rate of 1.25%.

To enable Simest S.p.A. to invest in Doxee CEE GmbH and thus to implement the aforementioned capital increase, Doxee S.p.A. transferred the Shareholding to the latter at the price of approximately € 9.5 million.

As a result of the sale of the Shareholding, the receivable claimed by Doxee S.p.A. from the subsidiary Doxee CEE GmbH will be partly (€ 2.7 million) allocated to a restricted reserve of the latter, partly (€ 3.8 million) converted as a shareholder loan receivable and the remaining portion (€ 3 million) paid in cash once the Simest S.p.A. loan is obtained.

The above intra-group transactions are among the exclusions from the procedure for the management of Transactions with Related Parties adopted by Doxee S.p.A., which is therefore not applicable.
