MODEL FOR THE COMMUNICATION OF CHANGES IN SHARE CAPITAL Communication of changes in share capital

We hereby communicate the new composition of the share capital, fully subscribed and paid, as a result of the merger by incorporation of EI TOWERS S.p.A. in DMT SpA, approved by EGM of EI TOWERS SpA and DMT S.p.A. on October 14th , 2011 (recorded with the Register of Companies of Monza and Brianza on October 18th
2011).
The merger act, prepared by the Notary Arrigo Roveda (Rep. 45972/15270), was signed by EI TOWERS SpA and DMT S.p.A. on December 30th 2011 and has been registered on the Register of Companies of Monza and Brianza on January 2nd, 2012. The effective date of the merger is January 2nd , 2012, therefore, the tax effects of the merger have started since January 1st , 2012.
