MATERIAL FACT

Diagnósticos da América S.A. ("Company" or "DASA"), in addition to the information in the material fact disclosed on January 22, 2014, informs that received today a letter sent by CROMOSSOMO PARTICIPAÇÕES II S.A., corporation with head offices at Rua Joaquim Floriano, nº 413, suite 112, Itaim Bibi, in the City of São Paulo, State of São Paulo, CEP 04534-011, enrolled with the National Registry of Legal Entities of the Ministry of Finance No.º 14.167.188/0001-71 ("Offering Party" or "Cromossomo") reporting that "…became aware of the content of the official letter OFÍCIO/CVM/SRE/GER-1Nº16/2014, sent by the Comissão de Valores Mobiliários ("CVM") on January 22nd, 2014 ("Official Letter"), in which CVM did not consider the amendment to the notice of the voluntary tender offer to acquire shares representing the totality of shares of Diagnósticos da América S.A.("Tender Offer" and "DASA", respectively) disclosed on January 22nd, 2014 ("Tender Offer"). The Offering Party clarifies that will make it's best efforts and will take all the necessary measures so that CVM reconsider the decision described by the official letter, and confirm the auction set on February 4th, 2014. The Offering Party keeps its intention to acquire up to the totality of the shares of DASA for R$15.00 per share" (free translation of the letter sent by Cromossomo on January 23, 2014).
