Sub: Change in Key Managerial Personnel (Chief Financial Officer) of DCB Bank

Limited (Bank).

In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Schedule Ill Part A and SEBI Circular no. CIR/CFD/CMD/4/2015, dated September 09, 2015, we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Bank at its meeting held today has given its consent for the following changes in the Key Managerial Personnel of the Bank:

1. Retirement of Mr. Bharat Laxmidas Sampat, Chief Financial Officer (CFO) and Key Managerial Personnel (KMP)

Mr. Bharat Laxmidas Sampat, Chief Financial Officer shall retire from the services of the Bank as the Chief Financial Officer and Key Managerial Personnel of the Bank at closing of business hours on June 30, 2022 after a long distinguished career, spanning about more than 13 years with the Bank. The Members of the Board have placed on record their sincere appreciation for the invaluable contribution made by Mr. Bharat Laxmidas Sampat during his long-standing tenure with the Bank and his retirement has been taken on record by the Board of Directors.

2. Appointment of Mr. Satish Gundewar as Chief Financial Officer (CFO) and Key Managerial Personnel (KMP)

Mr. Satish Gundewar (Presently holding the position as the Deputy Chief Financial Officer), a Qualified Chartered Accountant, Company Secretary and Cost and Management Accountant, has over 27 years experience in overseeing Financial Operations, Risk Management & Treasury in Banking and Non-Banking Financial Services Companies in senior leadership positions. He has worked with SBI Capital Markets, Standard Chartered Bank (India and Nepal) and his last stint was with Yes Bank Limited. He has been appointed as the Chief Financial Officer (CFO) and Key Managerial Personnel (KMP) of the Bank effective July 1, 2022. The terms of his appointment are as per the service conditions applicable to the employees of the Bank. The Board of Directors welcomed Mr. Satish Gundewar as the CFO and a KMP of the Bank.
