Corus Entertainment Inc. (TSX:CJR.B) agreed to acquire Historia and Séries+ from Shaw Media Inc. and BCE, Inc. (TSX:BCE) on March 4, 2013. Corus Entertainment entered into agreement to acquire 50% remaining ownership interest in TELETOON and two Ottawa-based radio stations, CKQB-FM (The Bear 106.9) and CJOT-FM (boom 99.7), that Bell will acquire as part of the acquisition of Astral Media Inc. Corus Entertainment also entered into agreement to acquire the remaining 49% interest in the successful specialty television service ABC Spark from Shaw Media. As part of the agreement, Corus will sell its 20% interest in Food Network Canada to Shaw Media. The combined acquisition price for these assets is approximately CAD 500 million. The deal is subject to approval of the Canadian Radio-television and Telecommunications Commission (CRTC) and the Competition Bureau.

As of March 15, 2013, the transaction received clearance from the Competition Bureau. Dervla Kelly acted as a public relation advisor for Shaw Media.

As of June 27, 2013, Canadian Radio-television and Telecommunications Commission approved the transaction. The transaction is expected to close in the fall of 2013. Douglas Bryce of Osler, Hoskin & Harcourt LLP acted as legal advisor to Corus Entertainment Inc.

Corus Entertainment Inc. (TSX:CJR.B) completed the acquisition of Historia and Séries+ from Shaw Media Inc. and BCE, Inc. (TSX:BCE) for approximately CAD 80.4 million on January 1, 2014. The net consideration was paid from cash on hand and existing bank lines of credit. The overall transaction will be immediately earning per share and free cash flow accretive.
