Core & Main, Inc. (NYSE:CNM) entered into a definitive agreement to acquire Dana Kepner Company, Inc. from Littlejohn & Co., LLC on January 30, 2024. The acquisition is subject to regulatory approval and other customary closing conditions. Houlihan Lokey, Inc. acted as financial advisor and Sheppard, Mullin, Richter & Hampton LLP acted as legal advisor to Littlejohn & Co., LLC.
Core & Main, Inc. (NYSE:CNM) completed the acquisition of Dana Kepner Company, Inc. from Littlejohn & Co., LLC on March 7, 2024. CNM acquired all of the outstanding shares of Dana Kepner Company LLC and associated entities, and acquired certain assets and assumed certain liabilities of Eastern Supply Inc. and a related entity in transactions with an aggregate transaction value of $548 million, subject to working capital adjustments.
