RESIGNATION OF EXECUTIVE DIRECTOR,

CHAIRMAN OF THE BOARD,

CHAIRMAN OF NOMINATION COMMITTEE,

CHIEF EXECUTIVE OFFICER, AUTHORIZED REPRESENTATIVE AND

PROCESS AGENT OF THE COMPANY

The board of directors (the "Board") of China Smarter Energy Group Holdings Limited (the "Company") announces that with effect from 10 March 2021, Mr. Zhang Liang ("Mr. Zhang") has resigned as (i) an executive director; (ii) chairman of the Board; (iii) chairman of the nomination committee; (iv) chief executive officer; (v) authorized representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities of The Stock Exchange of Hong Kong Limited (the "Authorised Representative"); and (vi) the authorized representative to accept service of process or notice on behalf of the Company in Hong Kong (the "Process Agent") under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) as Mr. Zhang would like to spend more time to pursue his own businesses and other commitments. Mr. Zhang has confirmed that he has no disagreement with the Board and there is no matter in relation to his resignation that need to be brought to the attention of the shareholders of the Company.

Following the resignation of Mr. Zhang, the Company is looking for suitable candidates to fill the vacancy of the chairman of the Board, chairman of the nomination committee, chief executive officer, Authorized Representative and Process Agent of the Company as soon as practicable, further announcements will be made as and when appropriate.

The Board would like to express its sincere gratitude to Mr. Zhang for his valuable contribution to the Company during his tenure of service.
