POLL RESULTS OF SPECIAL GENERAL MEETING HELD ON 20 JANUARY 2017

The Board is pleased to announce that the resolution proposed at the SGM held on 20 January 2017 was duly passed by the Shareholders as ordinary resolution by way of poll.

Reference is made to the circular ("Circular") of China Green (Holdings) Limited ("Company") dated 4 January 2017 setting out, inter alia, the notice of special general meeting of the Company ("SGM") held on 20 January 2017 ("Notice of SGM"). Unless the context otherwise requires, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

The Board is pleased to announce that the resolution proposed at the SGM, as set out in the Notice of SGM, was duly passed by the Shareholders as ordinary resolution by way of poll.

Computershare Hong Kong Investor Services Limited, the Company's branch share registrar in Hong Kong, was appointed as the scrutineer for the purpose of vote-taking at the SGM.

The poll results of the SGM are as follow:

To approve, confirm and ratify the entering into of the Modification Deed and all the transactions contemplated thereunder, including the Proposed Amendments; to authorize the Board to allot and issue the Conversion Shares upon exercise of the conversion rights attached to the Notes in accordance with the terms and conditions of the Notes as amended by the Modification Deed, and that the Specific Mandate shall supersede the Original Specific Mandate; and to authorize the Directors to exercise all the powers of the Company and take all steps as might in their opinion be desirable, necessary or expedient to give effect to or in connection with the Modification Deed including without limitation to the execution, amendment, delivery, submission and/or implementation of any further documents, instruments or agreements in relation thereto and all the transactions contemplated thereunder, and to agree to such variation, amendment or waiver as are, in the opinion of the Directors, in the interest of the Company provided that such variation, amendment or waiver shall not be fundamentally different from the terms as provided in the Modification Deed.	1,887,494,825 (99.99%)	29,700 (Negligible)

As a majority of the votes were cast in favour of the above resolution, the resolution proposed at the SGM was duly passed as ordinary resolution.

As at the date of the SGM, the total number of issued Shares was 6,942,285,077 Shares, which was the total number of Shares entitling the Shareholders to attend and vote on the resolution proposed at the SGM. No Shareholders were required under the Listing Rules to abstain from voting or have indicated in the Circular that they intended to vote against or to abstain from voting on the resolution proposed at the SGM. There were no Shares entitling the Shareholders to attend and vote only against the resolution proposed at the SGM.
