(Stock code: 998) ANNOUNCEMENT ON THE CBRC APPROVAL CONCERNING THE PREPARATION OF CITIC BAIXIN BANK CORPORATION LIMITED

Reference is made to the announcement dated 17 November 2015 relating to the establishment of a direct bank of China CITIC Bank Corporation Limited (the "Bank") and other matters.

On 5 January 2017, the Bank received the Approval in relation to the Preparation of CITIC Baixin Bank Corporation Limited (CBRC approval [2016] No. 463) from China Banking Regulatory Commission ("CBRC"), which gave its consent for the Bank to prepare the establishment of CITIC Baixin Bank Corporation Limited ("Baixin Bank") in Beijing. Baixin Bank is a bank with limited license and engages in direct banking business as a separate legal entity. The Bank and Fujian Baidu Bo Rui Netcom Science and Technology Co., Ltd. respectively subscribe, as promoters, 1,400,000,000 ordinary shares and 600,000,000 ordinary shares of Baxin Bank, constituting, respectively, 70% and 30% of the subscribed capital. Baixin Bank will not engage in financial services during the preparation period.

The Bank will carry out the preparation work and disclose information in accordance with relevant laws and regulations and the requirements of related approvals from CBRC and other regulatory authorities.
