Centuria Capital Limited (ASX:CNI) entered into a share sale agreement to acquire 100% issued share capital of 360 Capital Investment Management Limited from 360 Capital Property Group Limited for approximately AUD 100 million on November 23, 2016. In related transactions, Centuria will acquire 360 Capital Office Fund and four unlisted real estate funds. Acquisition will be funded from AUD 150 million of equity rising. In case of breach of contract, buyer can claim termination fee of more than AUD 5 million. Deal is subject to TGP security holders approving the change of responsible entity of 360 Capital Investment Trust from CIML to 360 Capital FM Limited and any other matters required by law or a regulatory authority, the seller obtaining the consent to the transactions under this agreement from the holders of the notes issued by the Company as responsible entity of the 360 Capital Investment Trust pursuant to an information memorandum dated September 17, 2014, third party consents, execution of underwriting agreement and few sale agreements as well as some other agreements.
