Vancouver, British Columbia--(Newsfile Corp. - May 13, 2024) - Canterra Minerals Corporation (TSXV: CTM) (OTCQB: CTMCF) ("Canterra" or the "Company") announces a non-brokered private placement, under the Listed Issuer Financing Exemption (as defined below), to raise gross proceeds of up to C$1,250,000 (the "Offering").

The Offering will consist of units of the Company (the "Units") at a price of C$0.06 per Unit. Each Unit will consist of one common share of the Company and one-half of one common share purchase warrant (a "Warrant"). Each Warrant will entitle the holder thereof to acquire one additional common share of the Company at a price of C$0.09 for a period of two years from the date of issuance. The net proceeds from the sale of the Units are expected to be used for general working capital purposes, including but not limited to, mining lease and property payments and exploration expenditures.

Subject to compliance with applicable regulatory requirements and in accordance with National Instrument 45-106 - Prospectus Exemptions ("NI 45-106"), the Offering is being made to purchasers resident in Canada, except Quebec, pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the "Listed Issuer Financing Exemption"). The securities offered under the Listed Issuer Financing Exemption will not be subject to a hold period in accordance with applicable Canadian securities laws.
