Subject : Cancellation of the Connected Transaction

Reference is made to the letter of BTS Group Holdings Public Company Limited (the "Company") Ref. No. BTS 2226/2016 dated November 7, 2016 as regards the resolution of the Board of Director's Meeting which approved the Company or a subsidiary of the Company to enter into a sale and purchase agreement of a yacht, having a total gross tonnage of 399.00 tons, with a purchase price of Baht 429.5 million from Mangkud Assets Company Limited, a connected juristic person of the Company.

After the Board of Directors' Meeting had resolved to approve the entry into the aforementioned transaction, both parties could not reach certain material terms and conditions of the agreement. Therefore, the Company would like to inform the cancellation of such transaction with Mangkud Assets Company Limited. In this regard, the cancellation has no impact to the Company since the Company has not yet signed the sale and purchase agreement of the yacht.
