LANÇAMENTO DA OFERTA PÚBLICA

BIOTOSCANA INVESTMENTS S.A. ("Company" or "GBT") (B3: GBIO33), empresa biofarmacêutica líder na América Latina, informa a seus acionistas e ao mercado em geral, dando continuidade ao fato relevante divulgado pela Companhia em 8 de julho de 2020 que, na presente data, a 11718991 Canada Inc. (a "Ofertante"), subsidiária integral da Knight Therapeutics Inc., lançou a oferta pública unificada de aquisição de BDRs representativos de ações de emissão da Companhia, tendo por objetivo (i) cumprir a obrigação estatutária da Ofertante de realizar uma oferta pública para a aquisição dos BDRs em circulação após a transferência do controle ("Oferta Pública de Tag Along"); e (ii) a descontinuidade voluntária do programa de BDRs da Companhia ("Descontinuidade do Programa de BDRs" e, em conjunto com a Oferta Pública de Tag Along, a "OPA"), com a divulgação do respectivo Edital, na forma da regulamentação aplicável.

Os titulares de BDRs são convidados a vender seus BDRs no leilão que ocorrerá em 14 de agosto de 2020.

MATERIAL FACT

LAUNCHING OF TENDER OFFER

BIOTOSCANA INVESTMENTS S.A. ("Company" or "GBT") (B3: GBIO33), a leading biopharmaceutical company in Latin America, hereby informs its shareholders and the market in general, following the material fact disclosed by the Company on July 8, 2020 that, on the date hereof, 11718991 Canada Inc. (the "Offeror"), a wholly owned subsidiary of Knight Therapeutics Inc., has launched the tender offer and released the notice of the unified tender offer for the acquisition of BDRs representing shares of the Company , aiming at (i) fulfilling the Offeror's statutory obligation to conduct a public offer for the acquisition of the outstanding BDRs following the transfer of control ("Tag Along Tender Offer"); and

1. the voluntary discontinuity of the BDRs program of the Company ("Discontinuity of the BDR Program" and, together with the Tag Along Tender Offer, the "Tender Offer"), in compliance with applicable regulation.

BDR holders are invited to tender their BDRs at the auction that will take place on August 14th, 2020.

The notice of the Tender Offer, containing detailed information on the terms and conditions of the Tender Offer, and the other documents relating to the Tender Offer, are available in the IPE System of CVM (www.cvm.gov.br) and B3 S.A. - Brasil, Bolsa, Balcão (www.b3.com.br), and in the website of GBT (http://ri.grupobiotoscana.com) and the Intermediary Institution (https://www.itau.com.br/itaubba- pt/nossos-negocios/ofertas-publicas).
