VOLUNTARY ANNOUNCEMENT

PUBLIC CENSURE BY THE SECURITIES AND FUTURES

COMMISSION

On 30 December 2019, the Securities and Futures Commission (the "SFC") has publicly censured Beijing Enterprises Holdings Limited (the "Company") in respect of certain buy- back transactions in the shares of the Company conducted in 2016 in breach of the Code on Share Buy-backs. Details of the disciplinary action were disclosed on the website of the SFC.

The board of directors of the Company does not consider the aforesaid matter to have any material adverse impact on the business and/or operations of the Company or any of its subsidiaries. The Company will review its internal control system in respect of share buy- back procedures with an aim to improving it, so as to ensure timely compliance with the applicable requirements under the Code on Share Buy-backs going forward.
