POLL RESULTS OF THE SPECIAL GENERAL MEETING
HELD ON 31 MARCH 2021
Reference is made to the circular dated 12 March 2021 (the "Circular") containing the notice (the "Notice of SGM") of the special general meeting (the "SGM") of Beijing Energy International Holding Co., Ltd. (the "Company") held on 31 March 2021. Unless the context otherwise requires, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.
POLL RESULTS OF THE SGM
The Board is pleased to announce that all the resolutions (the "Resolutions") set out in the Notice of SGM were duly passed by the Shareholders by way of poll at the SGM. The Company's branch share registrar and transfer office in Hong Kong, Union Registrars Limited, was appointed and acted as the scrutineer for the poll voting at the SGM.
The poll results in respect of the Resolutions are as follows:

As at the date of SGM, the total number of issued Shares of the Company was 22,427,948,432 Shares, which was the total number of Shares entitling the holders to attend and vote for or against any of the resolutions proposed at the SGM. There were no restrictions on any Shareholders casting votes on any of the resolutions proposed at the SGM. There were no Shares entitling the holders to attend the SGM and abstain from voting in favour of any of the resolutions as set out in Rule 13.40 of the Listing Rules. No Shareholder has stated his/her/its intention in the Circular to vote against or to abstain from voting on any of the resolutions proposed at the SGM, and no Shareholder was required to abstain from voting at the SGM under the Listing Rules.
As more than 50% of the votes were cast in favour of each of the Resolutions, all the Resolutions were duly passed as ordinary resolutions of the Company at the SGM.
