          Appointment of Certain Directors; Compensatory Arrangements of Certain
          Officers.

As previously disclosed by JV Group, Inc. (the "Company"), on November 23, 2021, each of Michael A. Littman, Calvin D. Smiley, Sr. and Redgie Green resigned as a director of the Company subject to Rule 14-f-1 of the Securities Exchange Act of 1934, as amended. On January 7, 2022, all of such resignations became effective.

Also as previously disclosed, none of such directors had any disagreements with the Company regarding the operations, policies or practices of the Company.
