On May 20, 2022, Alfi, Inc. (the "Company") received a notice from the Listing Qualifications Department of the Nasdaq Stock Market, LLC ("Nasdaq") stating that the Company is in compliance with Nasdaq Listing Rule 5250(c)(1), which requires the Company to timely file all required periodic financial reports with the Securities and Exchange Commission (the "SEC"). On May 16, 2022, the Company filed with the SEC its Quarterly Report on Form 10-Q for the quarter ended September 30, 2021, and its Annual Report on Form 10-K for the year ended December 31, 2021. A press release regarding the notification is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
