Adventure Inc. signed a contract to acquire Japan Cosmic Ryutuu Sangyou Ltd., Inc. from Isamu Hirugawa, Reiko Hirugawa, Takahiro Doi, Seiichiro Hirugawa, and one individual for approximately ¥640 million.

Adventure Inc. (TSE:6030) signed a contract to acquire Japan Cosmic Ryutuu Sangyou Ltd., Inc. from Isamu Hirugawa, Reiko Hirugawa, Takahiro Doi, Seiichiro Hirugawa, and one individual for approximately ¥640 million on January 22, 2018. Adventure Inc. will acquire 600 shares. Isamu Hirugawa will sell 81.7% stake, Reiko Hirugawa will sell 8.3% stake, Takahiro Doi will sell 5% stake, Seiichiro Hirugawa will sell 3.3% stake, and one individual will sell remaining stake. In related transaction, Adventure Inc. signed a contract to acquire Cosmic GC System Co., Ltd. Adventure Inc. will operate Japan Cosmic Ryutuu Sangyou Ltd., Inc. as wholly owned subsidiary. For the year ended May 2017, Japan Cosmic Ryutuu Sangyou Ltd., Inc reported net assets of ¥144 million, total assets of ¥1.63 billion, sales of ¥20.78 billion, and net income of ¥21 million. Board of Directors of Adventure Inc. made a resolution in favor of the transaction on January 22, 2018. The expected share transfer execution date is February 2018. The advisory expenses were ¥36 million.
Adventure Inc is a Japan-based company mainly engaged in consumer business to sell products and provide services to individuals and companies as well as investment business to invest in businesses and companies that can expect capital returns. The Company operates in two segments. The Consumer segment involves in the provision of travel goods and services, sales of tickets and sports apparel etc. The Investment segment involves in the investment to businesses or companies which has good potential and can expect capital returns.
