SUPPLEMENTAL ANNOUNCEMENT
The Company would like to give additional information in
relation to the Disposals.
Reference is made to the announcement of the Company dated 28
December 2011 (the "Announcement") in relation to the
Disposals constituting a discloseable transaction on the part
of the Company. Unless otherwise stated, capitalised terms
used herein shall bear the same meanings as defined in the
Announcement. The purpose of this announcement is to give
additional information in relation to the Disposals.
The Company would like to inform that based on the audited
financial statements of the Target and adjusted according to
the HKGAAPs, the turnover, profit from operation and net loss
after taxation for the financial year ended 31 December 2009
was approximately HK$112.8 million, HK$6.8 million and HK$1.5
million respectively.
The Company would also like to clarify that the loss expected
to accrue to the Company upon completion of the Disposals is
approximately HK$28 million, which is the difference between
(i) the total consideration for the Disposals in the amount
of approximately HK$25.1 million; and (ii) the sum of the
Company's interests in the Target in the amount of
approximately HK$53.4 million as disclosed in the annual
report of the Company for the year ended 31
December 2010 and the estimated expenses for the Disposals in
the amount of HK$0.08 million.
