DITECSA, an Andalusian company of engineering and integral maintenance of industrial sites, has acquired 100% of the shares of the industrial residue management division of BEFESA.

Befesa is a multinational company which provides innovative sustainable solutions to recycle residues of the steel and aluminium industries as well as industrial environmental services. The company operates plants in Europe, Middle East, Asia and the Americas with approx. €0.8 bn annual sales and around 1.800 employees. Befesa handles more than 2.2 million tons of residues and more than 1.3 million tons in its recycling processes. This agreement represents for Befesa - 100% owned by the private equity fund Triton Partners - a new step in its strategy to concentrate on its main activities of recycling metallic residues from the steel and aluminum industries, where Befesa is the European leader and a referent global player.

BGRI is active in the O&G (Oil & Gas) and petrochemical sectors, mainly in Spain, the European Union and the Andean Pact, offering environmental solutions for the industry, ranging from integral management of residue and industrial byproducts to the recovery of residues containing hydrocarbons. BGRI has annual sales of approx. 50 million euros and a team of around 400 people.

Both companies - DITECSA and BGRI - share synergies not only for the activities they carry out, but also for the sectors in which they work, thus enabling integration and development to occur naturally.

The resulting company, based in Seville, has a turnover of around 150 million euros, EBITDA of approx. 8 or 9 million euros, and a team of around 1.300 people. These figures place it among the leaders of the sector in the Iberian Peninsula.

The new company expects to reach 25% of its turnover in the international area, consolidating the strategic commitment made by Ditecsa in 2015. In addition, more than 50% of the sales will come by the recurring services that the Andalusian multinational already offers to its customers, which will facilitate their consolidation and greater capacity of action.

Among the main customers of the new corporation are Acerinox, Avanzia, Cepsa, CLC, Ecopetrol, Matsa, Petroamazonas or Repsol.

Through this transaction, Ditecsa deepens its strategy of growth, consolidating its position in the sectors in which it traditionally operates (Oil & Gas, mining, energy and industrial), as well as in the geographical areas in which it is present and where it is firmly committed for the management of environmental solutions.

With the incorporation of BGRI, the new corporation will respond to a growing need of the industrial sector, offering its customers an integral service of quality both in the management of by-products and their transfer centers, in accordance with EU environmental regulations.

This way, Ditecsa diversifies its business into a double dimension that positions it as a company offering a wide range of solutions in two major areas: industrial (engineering, maintenance and project execution) and environmental (management of industrial residues and by-products, and industrial cleaning of by-products).

Likewise, Ditecsa wants to strengthen its activity in the port area of Seville, with the implementation of logistics warehouses for the production, assembly and reception of by-products to export and import our integral services to all our international clients.
