(Stock Code: 02168) CLARIFICATION ANNOUNCEMENT INDEPENDENT BOARD COMMITTEE

Reference is made to the announcement of Yingde Gases Group Company Limited (the "Company") dated 8 February 2017 in relation to the establishment of the Independent Board Committee (the "IBC") and to the announcement of the Company dated 28 March 2017 regarding the appointment of Mr. David Chan ("Mr. Chan") and Mr. Deng Xipeng ("Mr. Deng") as additional independent non-executive directors of the Company with effect from 27 March 2017 and the composition of the IBC.

The Company wishes to clarify that Mr. Chan and Mr. Deng will not be appointed as additional members of the IBC which has considered, and will consider any updates in relation to, the offers from PAGAC II-2 Limited ("PAG") as announced by PAG on 7 March 2017.
