Timothy J. Maguire Enters into Cooperation Agreement with Yatra Online

On January 24, 2022, Timothy J. Maguire announced that on January 17, 2022, he has entered into a cooperation agreement with Yatra Online, Inc. regarding, among other matters, the composition of the Board of Directors of the Company. Timothy J. Maguire stated that pursuant to the cooperation agreement, the Company agreed to, effective immediately following the execution of the cooperation agreement, cause Roshan Mendis to be appointed to the Board, for a term of office that expires at the 2023 annual general meeting of shareholders. In addition, Timothy J. Maguire stated that he has agreed to certain customary standstill provisions for a period commencing on the date of the cooperation agreement and ending on the date that is 18 months following the date of the cooperation agreement.
