INCORPORATION OF SUBSIDIARIES

The Board of Directors (the "Board" or the "Directors") of USP Group Limited (the "Company" and together with its subsidiaries, the "Group") wishes to announce that the Company's wholly-owned subsidiaries, Theme A Investment Holdings Pte Ltd and USP Properties Pte Ltd, had each incorporated a subsidiary company (collectively, the "Incorporations"), details of which are as follows:-

Name of Holding Company:	Theme A Investment Holdings Pte Ltd
Principal activity:	(a) Process, industrial plant engineering design and
	consultancy services
	(b) Building and repairing of ships tankers and other
	ocean-going vessels
	(c) Installation of industrial machinery and equipment,
	mechanical engineering works
	(d) Scaffolding works
Issued and paid up share capital:	S$ 500,000.00
The Group's shareholding:	65%
Name of Subsidiary:	Threeone Recruitant Pte Ltd
Name of Holding Company:	USP Properties Pte Ltd
Principal activity:	Recruitment and deployment of workers and
	management staff for projects
Issued and paid up share capital:	S$ 100,000.00
The Group's shareholding:	65%

The incorporation(s) will not have any material effect on the earning per share, net assets per shares, gearing and substantial shareholders' shareholding of the Group for the financial year ended 31 March 2022.

None of the Directors or controlling shareholders of the Company and/or Group, as well as their respective associates, has any interest, direct or indirect, in the abovementioned incorporation(s) (other than through their respective shareholdings in the Company).
