On Sunday 5 March 2017 the Supervisory Board has resolved to suspend both members of the Executive Board, Mr. van der Snoek and Mr. Epskamp, with immediate effect. In accordance with the articles of association, the Supervisory Board has temporarily taken over the executive function.

In the opinion of the Supervisory Board this decision was inevitable given the interests of TMG, its business and its stakeholders, and more specifically the offer of Mediahuis and VP Exploitatie (the 'Consortium') and with that the future of TMG. The Supervisory Board has been heavily involved in the process of the intended public offers on TMG and has carried out its supervisory duties based upon the circumstances.

The Supervisory Board is of the opinion that the members of the Executive Board have done too little to further the process and have taken an insufficiently constructive and realistic stance during the last phase of the negotiations with the Consortium. This could have caused the negotiations with the Consortium to go wrong, whereby no merger protocol would have been signed. In this situation, the risk could occur that the Consortium would make an offer unilaterally without the stipulated protection for TMG and its stakeholders set out in the merger protocol. The Supervisory Board deemed this to be irresponsible and not acceptable. This has resulted in a breach of trust between the Supervisory Board and the Executive Board, after which the suspension has been decided for.

In light of the accrued results, until then, during the talks with both the Consortium and Talpa Holding N.V. (Talpa), the closing of the due diligence and the deal certainty offered by the Consortium, the Supervisory Board has decided on Tuesday 28 February to give way to further talks with the Consortium to investigate whether full agreement could be reached. The talks held with the Consortium on Saturday 4 March have led to the negotiation result announced today..

Should the circumstances require this, TMG will disclose any further relevant development.
