MINUTES OF THE BOARD OF DIRECTORS' MEETING

HELD ON JANUARY 16, 2018

1. DATE, TIME AND VENUE: On January 16, 2018, at 01:00 p.m, at the TECNISA S.A.'s headquarters, located at Avenida Brigadeiro Faria Lima, 3.477, 5th floor, conjuntos 51, 52, 53 e 54, parte, Bloco B, in the city and state of São Paulo, CEP 04538-133 ("Company").

2. ATTENDANCE: All members of the Company's Board of Directors attended the meeting.

3. PRESIDING BOARD: Chairman: Mr. Ricardo Barbosa Leonardos. Secretary: Mr. Meyer Joseph Nigri.

4. AGENDA: To approve the hiring of the new independent auditor of the Company as of the exercise of 2018.

5. RESOLUTIONS: Following the examination and discussion of the matter, the members of the Company's Board of Directors resolved to approve the hiring of Ernst & Young Auditores Independentes S.S. to provide the independent auditing services of the Company's financial statements, as of the exercise of 2018, replacing the company Deloitte Touche Tohmatsu Auditores Independentes S.S., due to the rotation of independent auditors determined by article 31 of ICVM no. 308, as amended.

6. CLOSURE, DRAWING UP AND APPROVAL OF THE MINUTES: There being no further business to discuss, these minutes were drawn up, read, unanimously approved and signed by all attending members.
