Takuni Group Public Company Limited ("The Company") would like to clarify the trading of the Company's share 16.09% of the paid-up capital under Big Lot Board transaction on 11 August 2022 that the share were sold by the Company's shareholder, who is not the Company's director and management, with details as follow;

The transactions do not fall under the tender offer according to the Notification of the Capital Market Supervisory Board No. TorChor. 12/2554 Re: Rules, Conditions and Procedures for the Acquisition of Securities for Business Takeovers dated 13 May 2011 (as amended).

However, such a change in shareholder's structure does not make any change in management's structure, the Company's policy, and the Company's business operation.
