Notice Regarding the Joint Development and Expansion of New Healthcare Services

by Suzuken, Chubu Electric Power and Welby:

Creating New Value by Establishing a Medical Platform with a Trilateral Approach

Suzuken Co., Ltd. (headquarters: Nagoya City, Aichi Prefecture; President and CEO: Shigeru Asano; hereinafter, "the Company") hereby announces that, to pursue the goal of jointly developing and promoting new healthcare services together with Chubu Electric Power Co., Inc. (headquarters: Nagoya City, Aichi Prefecture; President and Director: Kingo Hayashi; hereinafter, "Chubu Electric Power"), and Welby Inc. (headquarters: Chuo Ward, Tokyo; Representative Directors: Takeru Hiki and Takeru Yamamoto; hereinafter, "Welby") , the Company has signed an agreement to acquire a portion of the shares of Medical Data Card, Inc. (headquarters: Shinjuku Ward, Tokyo; CEO: Yasuyuki Suzuki; hereinafter, "MeDaCa"), a subsidiary of Chubu Electric Power.

1. Purpose and Background of the Joint Development

At the Suzuken Group, based on the idea of aiming to realize new value creation that solves social issues by combining real-world and digital resources, we are connecting with various companies in the digital field and combining their functions to create new added value, toward the goal of building a safe and secure healthcare platform.

The Suzuken Group, via its communication tool Medical Care Station (MCS), supports the seamless exchange of information such as patient information among 200,000 medical and nursing care professional users across various job types and facilities. Moreover, through the medical DX platform COLLABO Portal*1, we have developed a comprehensive portal site that delivers information on digital services, products, and more from our partner companies directly to physicians, nurses, pharmacists, and others in a one-stop manner.

Welby has been a leading provider of PHR*2 services since 2011. In addition to offering various PHR services such as Welby My Carte*3 specifically designed for patients with lifestyle diseases, Welby has played a pivotal role in founding and managing the PHR Service Business Association*4. Through the activities of this association, Welby has been at the forefront of advocating for the societal implementation of PHRs, in a collaborative effort with both the public and private sectors.

Chubu Electric Power is working on developing and deploying healthcare services that are designed to ensure that residents can continue to live safely and comfortably in their communities, even as the society shifts towards fewer children and a higher aging population. The company manages this through the healthcare services of its subsidiary, MeDaCa, and by analyzing electricity data to detect individuals in a frail state using its "e Frail Navi", which then informs local governments, community health nurses and other relevant parties.

Going forward, the three companies aim to establish a system that can deliver a comprehensive suite of healthcare services to customers, medical institutions, and local governments by integrating the services and networks of each company. Additionally, by fully utilizing Suzuken Group's network of medical and nursing care professionals as well as Chubu Electric Power's customer network, we will strive to deliver new value by establishing a medical platform with a trilateral approach.

To achieve this, the Company and Chubu Electric Power have entered into an agreement whereby the Company will acquire a portion of MeDaCa's shares, and Welby will acquire the majority stake in MeDaCa.

The Suzuken Group will continue to accelerate its digitalization efforts in collaboration with various companies to address the challenges facing the industry. Together, we will work to build a secure and reliable healthcare platform and advance our initiatives towards the transformation into a health creation enterprise.

2. Concept for Services to be Jointly Developed by the Three Companies

*1 COLLABO Portal:

This portal is a comprehensive healthcare platform deployed by the Suzuken Group. *2 PHR (Personal Health Record):

This system, integrated within the medical information infrastructure, is designed to manage personal medical, health, and nursing care information, such as diagnostic and medication histories.

*3 Welby My Carte:

This PHR platform supports the recording and self-management of health-related information, including home blood pressure, blood glucose levels, exercise, and diet for patients with lifestyle diseases such as diabetes and hypertension,

and for individuals working to prevent such diseases. The platform allows users to share their data with medical professionals, including doctors and nurses, as well as with health service providers (public health business operators). *4 PHR Service Business Association (PSBA):

Established on July 10, 2023, PSBA is Japan's first PHR service provider organization, led by business vendors offering various products and services. These services include the visualization of users' health conditions, promoting behavioral changes, and sharing such information with healthcare professionals by utilizing a wide range of medical and health-related data. The organization engages in activities such as formulating industry self-regulations pertaining to PHR services, discussing with stakeholders, and making policy proposals.
