Strainwise, Inc. acquired 4th Grade Films, Inc. (OTCBB:FHGR) in a reverse merger transaction on August 19, 2014. Under the transaction, 4th Grade Films issued 23.12 million shares as consideration. In addition, in connection with the acquisition, 1.04 million shares of 4th Grade Films will be cancelled. 4th Grade plans to adopt Strainwise's business plan, change its name to Strainwise, Inc. and change its stock trading symbol to reflect its new business focus. 4th Grade's assets relating to its independent film business were sold to Shane Thueson, a former Officer of 4th Grade Films.
Pursuant to the transaction, new management, including Shawn Phillips as Director and the Chief Executive Officer, Erin Phillips as Director and the President and Principal Financial and Accounting Officer and David Modica as Director and Manager of Quality Control of 4th Grade, were appointed. Shane Thueson, Nicholl Doolin and John Winchester resigned as officers of 4th Grade. William T. Hart of Hart & Hart LLC acted as legal advisor to Strainwise. Leonard Burningham of Burningham Law P.C acted as legal advisor for 4th Grade Films.
