Stem Holdings, Inc. (OTCPK:STMH) entered into an agreement to acquire 50% of the membership interest of YMY Ventures LLC for $0.75 million in September, 2018. The purchase price for the 50% interest is $0.75 million with the first $0.38 million paid into escrow upon signing the agreement and final $0.38 million due upon closing. The transaction is subject to transfer of licenses approval by the Nevada Department of Taxation and receipt of approval in transfer of ownership by the Division of Public and Behavioral Health of the City of North Las Vegas. On February 28, 2019, Nevada Department of Taxation has approved the Stem Holdings, Inc.'s change of ownership application for four medical and recreational cultivation and production licenses held by YMY Ventures LLC.
