The regular General Meeting of Shareholders of Sofia Commerce-Pawn Brokerage AD dated 14 June 2023 passed the following resolutions:
- Adoption of the 2022 individual and consolidated activity reports of the managing bodies
- Adoption of the 2022 individual and consolidated annual financial reports of the company
- Adoption of the reports of the registered auditor on the verification of the 2022 individual and consolidated annual financial reports
- Adoption of the report of the Audit Committee on 2022

- Adoption of the report on the implementation of the remuneration policy for the members of the managing bodies

- Allocation of the 2022 profit of BGN 2,749,578.02 as follows:
1) Gross dividend distribution of BGN 1,429,981.44, i.e. BGN 0.16 per share
2) Allocation of BGN 274,957.80 (10% of the profit) to the reserves
3) Allocation of the remaining profit to the retained profit of the company
- Adoption of a decision for reduction of the company's capital by invalidating 556,492 treasury shares (5.86%) of the equity capital
The right to a dividend will be entitled to all shareholders registered with the central securities register on the 14th day following the GMS date, i.e. by 28 June 2023 (Record Date).
The final date for transacting shares of this company on the Exchange, so the holder be entitled to receive a dividend, will be 26 June 2023 (Ex-Dividend Date: 27 June 2023).
