Shareholders

Reports and resolutions were made at the 90th Ordinary General Meeting of Shareholders held today. The details are provided below.

the Consolidated Financial Statements by the Accounting Auditor and the

Audit/Supervisory Committee for the 90th Term (from April 1, 2023 to March 31,

2024)

Non-Consolidated Financial Statements for the 90th Term (from April 1, 2023 to

March 31, 2024)

Resolutions

Proposal No. 1 Partial Amendments to the Articles of Incorporation

This proposal changed the location of the head office as defined in Article 3 of the current Articles of Incorporation (Head Office) from "Minato-ku, Tokyo" to "Shinagawa-ku, Tokyo."

Proposal No. 2 Election of Five Directors (Excluding Directors Who Are Audit/Supervisory Committee Members)

Masaki Yamazaki and Miwa Mitsuhashi were reelected, and Taro Nakagome, Tetsuya Nakamura, and Hiroyuki Ohashi were newly elected.

Hiroyuki Ohashi is an Outside Director.

Proposal No. 3 Election of Four Directors Who Are Audit/Supervisory Committee Members

Ren Shino and Hiroyuki Mitani were reelected, and Motoshi Muraoka and Yoshishige Takenaka were newly elected.

Ren Shino, Hiroyuki Mitani, Motoshi Muraoka, and Yoshishige Takenaka are Outside Directors.

Proposal No. 4 Election of One Substitute Director Who Is an Audit/Supervisory Committee Member Akiyo Yasuda was elected.

Akiyo Yasuda is a substitute Outside Director.

The Representative Director and Executive Directors below were elected at the Board of Directors meeting held following the General Meeting of Shareholders.

Payment of cash dividends

The year-end dividend for the 90th term will be paid in accordance with the enclosed dividend receipt and can be accepted at branches and sub-branches of Japan Post Bank and post offices.

If you have designated a bank account, check the enclosed dividend statement and confirmation of dividend payee.

A dividend statement is provided for both shareholders who have designated a bank account and those who will use the dividend receipt to receive it.
