The board of directors of Shunfeng Photovoltaic International Limited announced Mr. Jiang Bin has resigned as an independent non-executive director of the company, a member and the chairman of each of the audit committee of the company and the remuneration committee of the company and a member of the nomination committee of the company due to his personal commitments with effect from July 12, 2013, and Tang Guoqiang has resigned as a non-executive director of the company, the chairman of the Board, a member of the Remuneration Committee and a member and the chairman of the Nomination Committee due to his personal commitments with effect from July 12, 2013. The Board announced that Mr. Siu has been appointed as an independent non-executive Director of the company, a member and the chairman of each of the Audit Committee and the Remuneration Committee and a member of the Nomination Committee with effect from July 12, 2013. The appointment of Mr. Siu is to fill the vacancy arising from the resignation of Mr. Jiang.

Mr. Siu has over 31 years of experience in financial audit. Mr. Siu joined KPMG in September 1979. He was a partner of KPMG from July 1993 until his retirement in March 2010.

Mr. Siu is currently an independent non-executive director of CITIC Pacific Limited, Hop Hing Group Holdings Limited and China Communications Services Corporation Limited. The Board announced that Mr. Zhang has been appointed as an executive director of the company, the chairman of the Board, a member of the Remuneration Committee and a member and the chairman of the Nomination Committee with effect from July 12, 2013. The appointment of Mr. Zhang is to fill the vacancy arising from the resignation of Mr. Tang.

Mr. Zhang was a section chief of The People's Bank of China from January 1981 to May 1984. He was the general manager of financial planning department of Industrial and Commercial Bank of China Limited, Shanghai Municipal Branch from May 1984 to January 2003. He was a director and an alternate chief executive and a deputy general manager of ICBC (Asia) from March 2005 to July 2010.

Mr. Zhang, an executive director of the company, has been appointed as the chairman of the Board in place of Mr. Tang with effect from July 12, 2013.
