On 30 March 2016, the Company and Jiangsu Guang He Hui Yun Technology Company Limited* ( 江蘇廣和慧雲科技股份有限公司 ) ("Guang He Hui Yun") entered into a strategic cooperation agreement in relation to the construction and operation of cloud platforms (the "Guang He Hui Yun Strategic Cooperation Agreement"). Pursuant to the Guang He Hui Yun Strategic Cooperation Agreement, it was agreed between the Company and Guang He Hui Yun that, among others, the Company will invest in the acquisition and construction of the basic infrastructure of cloud platforms in third to fourth tier cities in the People's Republic of China (the "PRC") and Guang He Hui Yun shall be responsible for the maintenance fees of the cloud platforms.
On 30 March 2016, the Company and Xiamen Kehua Hengsheng Co., Ltd * (廈門科華恒 盛股份有限公司 ) ("Xiamen Kehua") entered into a strategic cooperation agreement (the "Xiamen Kehua Strategic Cooperation Agreement"). Pursuant to the Xiamen Kehua Strategic Cooperation Agreement, the Company entrusts Xiamen Kehua for the construction of cloud
platforms in the PRC and Xiamen Kehua agreed to supply materials for the construction of cloud platforms to the Company at a preferential price. The price and specifications of the materials are subject to the terms of any definitive agreement to be entered into between the parties from time to time.
On 30 March 2016, the Company and Hitachi Solutions (China) Co., Ltd. * ( 日立解決方 案（ 中 國）有限公司) ("Hitachi Solutions") entered into a strategic cooperation agreement (the "Hitachi Strategic Cooperation Agreement"). Pursuant to the Hitachi Strategic Cooperation Agreement, Hitachi Solutions agreed, among others, to conduct promotion of its products such as enterprise
resource planning system, intelligent office desk, system integration and safety solutions in the cities in which the cloud platforms of the Company are or will be located. The Company and Hitachi Solutions shall jointly formulate sales target and plan and the revenue arising from the sale will be shared between the Company and Hitachi Solutions.
On 30 March 2016, the Company and Tian Ting Cloud Computing Technology (Shanghai) Co., Ltd. * ( 天霆雲計算科 技（ 上海 ）有 限公司 ) ("Tian Ting") entered into a strategic cooperation agreement (the "Tianting Strategic Cooperation Agreement"). Pursuant to the Tianting Strategic Cooperation Agreement, Tian Ting agreed, among others, to conduct promotion of its self-developed products in the cities in which the cloud platforms of the Company are or will be located. The Company and Tian Ting shall jointly formulate sales target and plan and the revenue arising from the sale will be shared between the Company and Tian Ting.
On 30 March 2016, the Company and China Cloud System Pioneer Strategic Alliance* (中國雲體 系產業創新戰略聯盟 ) ("China Cloud System") entered into a strategic cooperation agreement (the "China Cloud System Strategic Cooperation Agreement"). Pursuant to the China Cloud System Strategic Cooperation Agreement, China Cloud System agreed, among others, to
recommend to its business partners to conduct promotion of their products and solutions in the cities in which the cloud platforms of the Company are or will be located.
On 30 March 2016, the Company and Shanghai Zhong Chuan Network Technology Co., Ltd.* ( 上 海中傳網路技術股份有限公司) ("Shanghai Zhong Chuan") entered into a strategic cooperation agreement (the "Shanghai Zhong Chuan Strategic Cooperation Agreement"). Pursuant to the
Shanghai Zhong Chuan Strategic Cooperation Agreement, the Company and Shanghai Zhong Chuan agreed, among others, that they will integrate their existing resources in cloud platforms, invest in relevant hardware and software of cloud platform systems and realize the interconnection among the existing and future cloud platforms.
On 30 March 2016, the Company and Zhong Da Dian Tong Co., Ltd.* ( 中 達 電 通 股 份 有 限 公 司 ) ("Zhong Da Dian Tong") entered into a strategic cooperation agreement (the "Zhong Da Dian Tong Strategic Cooperation Agreement"). Pursuant to the Zhong Da Dian Tong Strategic Cooperation Agreement, the Company entrusts Zhong Da Dian Tong for the construction of cloud
platforms in the PRC and Zhong Da Dian Tong agreed to supply materials for the construction of cloud platforms to the Company at a preferential price. The price and specifications of the materials are subject to the terms of any definitive agreement to be entered into between the parties from time to time.
To the best of the knowledge, information and belief of the directors (the "Directors") of the Company having made all reasonable enquires, each of Guang He Hui Yun, Xiamen Kehua, Hitachi Solutions, Tian Ting, China Cloud System, Shanghai Zhong Chuan, and Zhong Da Dian Tong and their respective ultimate beneficial owners are third parties independent of the Company and its connected persons (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited).
As disclosed in the announcement of the Company dated 17 March 2016, the Company has been actively looking for new investments and business opportunities so as to broaden the revenue base and maximize the return to the Company and its shareholders in the long run. Having considered the business environment of the cloud technology industry, the Directors consider that the cloud technology industry to be a sector with promising business potential. The Board considers that the entering into of the above strategic cooperation agreements enable the Company to broaden its business connections in the cloud computing industry and facilitate the entering into of the Company into the cloud computing industry in the PRC.
