Item 1.01. Entry into a Material Definitive Agreement.

On October 7, 2021, Sequential Brands Group, Inc., a Delaware corporation (the "Company") entered into a Membership Interest Purchase Agreement (the "Purchase Agreement") with With You, Inc. ("Buyer"), pursuant to which Buyer will purchase all of the Company's 62.5% Membership Interests in With You LLC ("With You") for an aggregate cash purchase price of $65 million, subject to adjustment as set forth in the Purchase Agreement. With You holds the intellectual property assets and licenses used in the Jessica Simpson consumer brand business.

The closing of the transactions contemplated by the Purchase Agreement is subject to customary closing conditions, including approval from the U.S. bankruptcy court.

The Purchase Agreement contains representations, warranties and covenants of the Company and Buyer that are customary for transactions of this type.
