          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers.

On October 21, 2022, Randy Parker informed the board of directors of SCP & CO Healthcare Acquisition Company, a Delaware corporation (the "Company"), of his intention to resign as a director of the Company effective immediately. Mr. Parker's resignation was not due to any disagreement with the Company.
