Samantha Thavasa Japan Limited (TSE:7829) entered into contract to acquire L'est Co., Ltd. from Shigeru Fujimoto, Shizue Fujimoto, and Eriko Ito on June 4, 2013. Samantha Thavasa Japan Limited will acquire 0.04 million shares. Shigeru Fujimoto will sell 47.5% stake, Shizue Fujimoto will sell 30% stake, and Eriko Ito will sell 22.5% stake. As on June 17, 2013, Samantha Thavasa Japan Limited will acquire L'est Co., Ltd. for ¥1.6 billion. During the period ended January 2013, L'est Co., Ltd. had sales of ¥6.18 billion, total assets of ¥3.81 billion and shareholders' equity of ¥2.38 billion.
Kazumasa Terada, Masaaki Fujita, Takashi Sugawara, and Toru Ohyama from Samantha Thavasa Japan Limited will join as Directors of L'est Co., Ltd. The appointment of Directors is planned to be approved during the extraordinary meeting of shareholders of L'est Co., Ltd. on June 10, 2013. The Board of Directors of Samantha Thavasa made a resolution in favor of the transaction on June 4, 2013. The transaction is expected to close on June 10, 2013. Shigeru Inoue will join as Auditor of L'est Co., Ltd. The advisory fee is ¥8 million.
