RBPLAT ANNOUNCES CHANGE OF CLASSIFICATION OF FORMER CHIEF FINANCIAL OFFICER FROM EXECUTIVE DIRECTOR TO NON-EXECUTIVE DIRECTOR

Shareholders are referred to the SENS announcement released by the Company on 1 July 2021, in which shareholders were notified that Mr. Hanré Rossouw, the then Chief Financial Officer ("CFO") and executive director of the Company, would resign with effect from 3 April 2022.

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements ("JSELR"), shareholders are hereby informed that with effect from 3 April 2022, Mr. Rossouw resigned as CFO and as an employee of RBPlat, but has continued to serve as a non-executive director of the Company from 3 April 2022, in accordance with the requirements of the Companies Regulations, 2011 (the "Regulations").

In terms of Regulation 108(2) of the Regulations, a director of an offeree regulated company must not resign from the board of the offeree regulated company until any pending offer in respect of the company's securities has been declared unconditional, lapsed or been withdrawn. In the context of the mandatory offer announced by Impala Platinum Holdings Limited on SENS on 29 November 2021 in respect of the Company's issued voting securities (the "Mandatory Offer"), Mr. Rossouw is accordingly precluded from resigning from his office as director of RBPlat until such time as the Mandatory Offer becomes unconditional or lapses.

Shareholders are further notified that pursuant to a resolution of the board of directors of the Company ("Board") passed on 2 March 2022, Mr. Rossouw will continue to serve as a non-executive director on the Board until the date on which the Mandatory Offer is declared unconditional or lapses in accordance with its terms, at which time a further announcement will be released on SENS to the extent required in respect of the resignation of Mr. Rossouw.
