5.Cause of occurrence:
 (1)The reverse triangular merger among the Company, Albaugh LLC and its
 indirectly wholly-owned subsidiary Albaugh Limited (the"Merger") was
 approved by the Company's extraordinary general meeting on February 8,
 2022.
 (2)In accordance with relevant laws and regulations, the Company applied
 to TWSE for the delisting of the Company's shares and was approved by TWSE
 with approval letter dated March 28, 2022 with reference number 1111700883.
 (3)Upon the consummation of the Merger, all of the issued and outstanding
 ordinary shares of the Company will be canceled and converted to the right
 to cash in the amount of NT$26.23 per share.
