Disclosure of a transparency notification

(in accordance with Article 14, § 1 of the Belgian Act of 2 May 2007 on disclosure of major shareholdings)

Wetteren, Belgium - 1 December 2021

Resilux NV ("Resilux") (Euronext Brussels: RES), announces today, in accordance with Article 14 of the Belgian Act of 2 May 2007 on disclosure of major shareholdings in issuers whose shares are admitted to trading on a regulated marked and miscellaneous provisions (the "Act of 2 May 2007"), that it has received a transparency notification ("Notification") dated 1 December 2021.

Based on the Notification it appears that the members of the De Cuyper family and their affiliates (the "Reference Shareholders"), on the one hand, and Quva NV ("Quva"), on the other hand, have reached an agreement on 25 November 2021 whereby Quva will acquire, via a subsidiary to be established, all of the shares of Resilux held by the Reference Shareholders, subject to merger control approval. For further information in this respect, reference is made to the press release of Resilux and Quva issued on 25 November 2021.

This Notification is made, in as far as required and applicable and to the extent the Reference Shareholders and Quva would be deemed to act in concert pursuant to the entering into of the aforementioned agreement.

A natural person controls maatschap Opus Unicum. Maatschap Opus Unicum controls STAK Ooslec. STAK Ooslec controls Pava Holding NV. Pava Holding NV controls Quva NV.

9. Additional information:

On 25 November 2021 the members of the De Cuyper family and their affiliates (the "Reference Shareholders"), on the one hand, and Quva NV ("Quva"), on the other hand, have reached an agreement whereby Quva will acquire, via a subsidiary to be established, all of the shares of Resilux held by the Reference Shareholders. The completion of the acquisition is still subject to merger control approval.

The concerted action (if any) on the basis of which this transparency notification is made does not impact the previously notified concerted action between Tridec Stichting Administratiekantoor, Belfima Invest NV, Tradidec NV, Immo Tradec NV, Tradec Invest NV and certain other natural persons, whereby the latter concerted action remains in full force and effect between the parties thereto.
