Notification Regarding Change to Nomination and Remuneration Council

Relia, Inc. ("the Company") hereby notifies it was resolved at the meeting of the Board of Directors held today that the name of the Remuneration Council, a voluntary advisory body of the Board of Directors, will be changed to the Nomination and Remuneration Council, as follows.

Details

1. Content of Change

The Company established the Remuneration Council in February 2019 for the purpose of strengthening its corporate governance structure regarding matters pertaining to Directors' remuneration and other matters. With the objective of the further enhancement of its governance, the Council will now also deliberate on matters pertaining to the nomination of Directors and its name will therefore be changed to the Nomination and Remuneration Council.

2. Role of the Council

Pursuant to consultation by the Board of Directors, in addition to current matters pertaining to Directors' remuneration, the Nomination and Remuneration Council will newly deliberate on the following matters and report to the Board of Directors.

1. Basic policies, rules, procedures, and other matters pertaining to the election and dismissal of Directors (including the President)
2. Formulation of policies pertaining to succession plans for the President and appropriate supervision of their implementation
3. Composition, etc. of the Board of Directors (balance of knowledge, experience and abilities, and diversity, size, etc.)
4. Other matters concerning the preceding items that the Nomination and Remuneration Council recognizes as necessary
