Entry and Closing of a Material Definitive Agreement

On July 26, 2022, Quantum Metal Exchange, Inc.'s (the "Company") majority-owned subsidiary Quantum Metal Bullion Pty Ltd, an Australian entity ("Purchaser") completed an acquisition of Red Moon Ventures Pty Ltd, an Australian entity ("Red Moon Ventures") in accordance with a Put and Call Option Agreement (the "Agreement"), dated January 1, 2022, between the Purchaser and Cajmaj Investments Pty Ltd, as trustee for the Cajmaj Family Trust, which owned all outstanding shares of Red Moon Ventures ("Owner").

Pursuant to the Agreement, the Owner granted the Purchaser an option (the "Option") to purchase all outstanding shares of Red Moon Ventures for a total purchase price as defined in the Agreement. On July 26, 2022, pursuant to the exercise of the Option by the Purchaser, the Purchaser purchased all outstanding shares of Red Moon Ventures in exchange for $161,000 AUD, and accordingly on the same date, Red Moon Ventures became a wholly-owned subsidiary of the Purchaser, and thereby an indirect majority-owned subsidiary of the Company.

The closing of the Agreement did not constitute a change in control, as the Company's largest shareholder remains unchanged and no other person became the "beneficial owner" (as defined in Rule 13d-3 of the Exchange Act), directly or indirectly, of securities of the Company representing fifty percent (50%) or more of the total voting power represented by the Company's then outstanding voting securities. Additionally, there was no change in the composition of the Company's board of directors and nor was there any change to the officers of the Company. Accordingly, there was no change in control of the Company.
