Prumo Logistica : Material Fact - preliminary agreement with Port of Antwerp International NV

MATERIAL FACT

Prumo Logística S.A. ("Company" or "Prumo") (Bovespa: PRML3), in attention to art. 157, § 4 of Law 6,404/76 and in accordance with CVM Instruction 358/02, hereby informs its shareholders and the market in general that, on April 20, 2017, it has executed a preliminary agreement ("Agreement") with Port of Antwerp International NV ("PAI").

The Agreement sets forth the parties' intentions to evaluate a potential partnership ("Partnership"). The Partnership conceptually consists of PAI providing to Porto do Açu Operações S.A. consulting services, provision of operating services and/or potential investment. The joint studies will be focused on the development and exploitation of the industrial complex of Porto do Açu and are to be conducted on exclusive basis until June 30th 2017.

The exclusivity granted under the agreement establishes that Prumo shall not solicit or encourage negotiations with any other European Port Authority for similar services or studies.

The Agreement does not constitute a commitment to enter into or negotiate a transaction and the parties acknowledge and agree that either party may cease negotiations for any reason whatsoever.

The Company informs that the discussions with PAI are still at a preliminary stage and that there is no guarantee at this time that a definitive transaction will be executed, however, the exclusivity provision of the Agreement is binding and material in nature.
