LLX Logistica : Material Fact - Intention to commence a public tender offer for all outstanding shares of the Company

MATERIAL FACT

Prumo Logística S.A. ("Company" or "Prumo") (Bovespa: PRML3), pursuant to Art. 157, §4 of Law #6,404/76 and in accordance with CVM Instruction #358/02, hereby informs its shareholders and the market in general that its subsidiary, Porto do Açu Operações S.A., executed 2 (two) term sheets: (i) one with RB Capital Commercial Properties S.A ("RB Capital") that establishes the main terms and conditions for the joint development of a Logistics Condominium and (ii) one with Euro Consult Engenharia Ltda. ("Euro") that establishes the main conditions for the joint development of a Convenience Center, both located at the Açu Port Industrial Complex.

The Logistics Industrial Condominium will be comprised of warehouses and yards, and built to suit modules endowed with basic infrastructure and which will benefit from the condominium shared services such as reception, security, cleaning, among others. For the construction of the project, Porto do Açu will provide an area of 465,000 m² and RB Capital will be fully responsible for its construction, with an investment of about R$ 220 million.

The Convenience Center will include commercial space and convenience services such as restaurants, pharmacies and gas stations, for the companies and workers of the Industrial Complex of Açu Port. For its construction, the Açu Port will provide an area of 8,000 m² and Euro will only be responsible for the construction of the project and will invest about R$ 3 million for the completion of works.

The provisions set forth in the Term Sheets must be confirmed by the conclusion of Definitive Agreements with RB Capital and Euro. The signing of these contracts and consequently the implementation of such projects are subject to certain precedent conditions, which may or may not materialize. The Company will keep the market informed about the execution of these documents.
