POLNORD : Decrease of the share in the total number of votes by BZ WBK Asset Management S.A.

Legal basis: Article 70 (1) of the Act on Public Offering - acquisition or disposal of a significant block of shares

Polnord SA ('Polnord', the 'Company') hereby informs that on 31 December 2015 the Company received a notification from BZ WBK Asset Management Spółka Akcyjna with its registered office in Poznań, pursuant to art. 69 clause 1 pt. 2 in connection with art. 87 clause 1 pt. 3 (b) of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies, regarding the fact that as a result of revoking the power of attorney to manage a portfolio by one of the customers, on 28 December 2015 the customers of BZ WBK Asset Management S.A. became owners of shares carrying less than 5% of the total number of votes at the general shareholders meeting of Polnord.

Before the reduction, mentioned above, the customers of BZ WBK Asset Management S.A. whose accounts are covered by the management agreements owned 1,636,493 shares of Polnord, which constituted 5.015% of the share capital. The shares were vested with 1,636,493 votes at the general shareholders meeting, which constituted 5.015% of the share in the total number of votes at the general shareholders meeting of Polnord.

On 28 December 2015, the customers of BZ WBK Asset Management S.A. whose accounts are covered by the management agreements owned 1,630,706 shares, which constituted 4.997% of the share capital. The shares were vested with 1,630,706 votes, which constituted 4.997% of the share in the total number of votes at the general shareholders meeting of Polnord.

Moreover, BZ WBK Asset Management S.A. informed that BZ WBK Towarzystwo Funduszy Inwestycyjnych Spółka Akcyjna with its registered office in Poznań, pursuant to art. 46 clause 1 pt. 1 of the Act of 27 May 2004 on Investment Funds (Journal of Laws No. 146 item 1546, as amended) commissioned BZ WBK Asset Management S.A. management of investment funds' portfolios, for which Towarzystwo (the 'Funds') is the authority. Therefore, in case of holding of the Polnord's shares by the Funds, BZ WBK Asset Management S.A. was obliged to include them in the notification.
