Background/Description of the Disclosure
On May 31, 2022, the Executive Committee, with the authority delegated by the Board of Directors of PHINMA Corporation, approved the issuance and sale of 14,450,179 treasury shares thru the facilities of the Philippine Stock Exchange at a minimum selling price of Php 19.50 per share. Furthermore, the shareholders approved the one-time denial of pre-emptive rights during the Special Shareholders Meeting held last July 14, 2022. Notwithstanding the said denial of pre-emptive rights, stockholders will have the opportunity to acquire the said Treasury Shares through the Exchange.
The company started selling its Treasury Shares on July 19, 2022.
